1. Parties and Agreement
These Terms of Service (“Terms”) constitute a binding agreement between Skad Business Solutions Private Limited (“Provider”, “we”, “HRTailor”), a company incorporated under the Companies Act 2013, and the business entity (“Client”, “you”) that engages HRTailor’s services. By engaging our services or signing a service agreement, you agree to these Terms.
2. Services Provided
HRTailor provides HR outsourcing services as described in the agreed service plan, including:
- Dedicated Online HR Manager (Monday to Saturday, 10:00 AM – 6:00 PM IST)
- HR Executive Pod support (payroll, TDS, onboarding, grievance, HRMS, statutory filings)
- Cloud HRMS software (included in all plans)
- Statutory compliance management (PF, ESIC, PT, LWF, TDS) — available under the “With Compliance” plan
- Additional services as agreed in writing (recruitment, POSH training, biometric integration, etc.)
The specific scope of services is defined in the signed Service Agreement or the plan selected on our website.
3. Minimum Commitment and Term
- A minimum commitment of 6 (six) months applies from the date of service commencement.
- After the minimum 6-month period, the service continues on a month-to-month basis unless cancelled as per Section 4.
- One-time HR Setup Fee: Rs. 30,000 to Rs. 50,000 (depending on employee count and complexity), payable at commencement.
4. Payment Terms
- Services are billed monthly at the applicable plan rate.
- A minimum advance of 3 (three) months must be paid before service commencement.
- Clients opting for 6-month advance billing receive a 10% discount on the total advance amount.
- All prices are in Indian Rupees (INR) and exclude GST (Goods and Services Tax).
- GST at applicable rates will be added to all invoices.
- Payment is due within 7 days of invoice date.
5. Cancellation Policy
- Cancellation requests must be submitted in writing to: [email protected]
- Cancellation requests are only accepted after the 6-month minimum commitment period has elapsed.
- A 30 (thirty) day written notice period is required from the date of the cancellation request.
- No refund is provided for the current billing cycle or any advance amounts already paid.
- The Provider will ensure a clean handover of all HR records, documents, and data within 30 days of the effective cancellation date.
6. Confidentiality
Both parties agree to keep all confidential information exchanged during the term of service strictly private. This includes employee data, payroll information, business strategy, pricing, and proprietary processes. This obligation survives termination of the agreement.
7. Data and Intellectual Property
- All employee data processed by HRTailor remains the property of the Client.
- HRTailor’s processes, frameworks, templates, and technology remain the intellectual property of Skad Business Solutions Private Limited.
- Upon termination, the Provider will return or delete all Client data within 30 days.
8. Limitation of Liability
To the extent permitted by applicable Indian law, the Provider’s total liability for any claim arising from these Terms shall not exceed the total fees paid by the Client in the 3 (three) months immediately preceding the claim. The Provider shall not be liable for indirect, incidental, or consequential damages.
9. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, or internet service disruptions.
10. Governing Law and Dispute Resolution
- These Terms are governed by the laws of India.
- In the event of any dispute, the parties shall first attempt resolution through good-faith negotiation.
- If unresolved within 30 days, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator mutually agreed upon by both parties. The seat of arbitration shall be Mumbai, Maharashtra.
- If arbitration is unsuccessful, exclusive jurisdiction shall vest in the courts of Mumbai, Maharashtra.
11. Amendments
HRTailor reserves the right to update these Terms. Clients will be notified by email at least 30 days before material changes take effect. Continued use of services after the effective date constitutes acceptance.
